Terms of Service

These Terms of Service ("Terms") govern your access to and use of Gatekeeper's website, products, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Definitions

• "Service" means Gatekeeper's software, website, APIs, and related services.
• "User" means an individual authorised to access the Service under an account.
• "Customer" means the entity (company or organisation) that enters into these Terms.
• "Content" means information, text, files, and data submitted to the Service.

Account Registration and Security

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of credentials and for all activity that occurs under your account. You must promptly notify us of any suspected unauthorised access or security incident involving your account.

Acceptable Use Policy

You agree not to:

• Use the Service in violation of applicable law or regulation.
• Attempt to gain unauthorised access to the Service or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law.
• Use the Service to transmit malware, exploit code, or harmful content.

Service Level Agreement (Overview)

We aim to provide a reliable Service. Availability targets, maintenance windows, incident response, and any service credits (if applicable) may be described in a separate Service Level Agreement or Order Form. Unless expressly stated otherwise in writing, the Service is provided on an "as is" and "as available" basis.

Fees and Payment Terms

If you purchase a paid plan, you agree to pay the fees described in your Order Form or subscription selection. Fees are non-refundable except where required by law or expressly stated in writing. We may suspend access for overdue amounts following reasonable notice.

Intellectual Property Rights

We and our licensors own all rights, title, and interest in and to the Service, including all related intellectual property. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term. As between the parties, you retain ownership of your Content.

Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, Gatekeeper will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Gatekeeper's total aggregate liability under these Terms will not exceed the total fees paid (or payable) by Customer for the Service in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Gatekeeper and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Content, or your violation of these Terms.

Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate access if you materially breach these Terms or if required to do so by law. Upon termination, your right to use the Service ends. You may be able to export Content as described in your plan or Order Form, subject to applicable retention and security requirements.

Dispute Resolution

If a dispute arises, the parties will first attempt to resolve it informally in good faith. If the dispute is not resolved, it will be finally settled by arbitration under applicable arbitration rules, seated in England and Wales, and conducted in English, except where prohibited by law.

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any Order Form, SLA, or other documents expressly incorporated by reference, constitute the entire agreement between you and Gatekeeper regarding the Service and supersede any prior or contemporaneous agreements.
